Terms and Conditions
The agreement between you and SingularityAPI. It covers what you may build, what we owe you, what we do not promise, and how either side can end it.

1. Agreement to these terms
These Terms and Conditions (“Terms”) govern your access to and use of the SingularityAPI platform, including the API, dashboard, playground, and documentation (together, the “Service”). By creating an account or calling the API, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
Our Privacy Policy forms part of this agreement.
2. Changes to the Service
We develop the Service continuously. Features may be added, changed, or withdrawn, and we will give reasonable notice of material changes — including before any change that would break your integration.
3. Accounts and credentials
- You must provide accurate information and keep your account details current.
- You are responsible for all activity under your account and for keeping your API keys secret.
- API keys are shown once at creation. Store them securely; never commit them to source control or expose them in client-side code.
- Notify us promptly if you suspect unauthorised use, and revoke the affected key from your dashboard.
- You must be at least 18 years old to use the Service.
Activity authenticated with your API key is treated as yours, including any credit consumed by it.
4. Credit, usage, and billing
Usage is metered per request. Before each request we reserve the maximum possible charge against your available credit and then settle the exact amount when the response completes, releasing any unused reservation. Each request produces a receipt recording the model served, token usage, computed cost, and outcome.
- Credit is prepaid, denominated in United States dollars, and drawn down as you use the Service.
- Purchased credit is non-refundable once used. You may request a refund of unused purchased credit within 24 hours of the time the transaction was processed; after that, unused purchased credit is non-refundable except where a refund is required by law.
- Unused purchased credit expires 12 months after the date of purchase.
- Promotional credit that we grant is provided at our discretion, has no cash value, is non-transferable, is not redeemable for money, and expires on the date shown in your dashboard.
- Requests are refused when available credit cannot cover the maximum possible charge for that request.
- A request that fails before any model output is delivered is charged nothing. Once output has been delivered to you, generated usage is charged even if the connection is later interrupted.
- Prices for each model are published in the dashboard and via the API and may change; we will give notice before increases take effect.
- Prices are exclusive of tax. You are responsible for any sales, use, VAT, GST, or similar taxes arising from your purchases, other than taxes on our income.
Balances, reservations, receipts, and expiry dates are shown in your dashboard. Payments are handled by our payment processor; we do not receive or store your full card details.
5. Acceptable use
You agree not to use the Service to:
- Break the law, infringe intellectual property, or violate anyone's privacy or publicity rights.
- Generate or distribute material that sexually exploits or endangers children, incites violence, promotes terrorism, or facilitates serious harm to people.
- Create malware, carry out unauthorised intrusion or credential attacks, or operate coordinated deception, fraud, or spam campaigns.
- Provide medical, legal, or financial advice presented as coming from a qualified professional without appropriate human review and disclosure.
- Attempt to circumvent our rate limits, credit accounting, authentication, or the technical restrictions of the Service.
- Resell or expose raw access to the Service in a way that lets third parties consume it under your credentials without your own controls, unless we have agreed to it in writing.
- Reverse engineer the Service to identify or target the underlying model providers, or interfere with the operation of our infrastructure or other customers' use of it.
Your use must also comply with the usage policies of the underlying model providers that serve your requests. Those policies apply to the content you submit and generate; we will tell you if a restriction affects a model you rely on.
You are responsible for reviewing outputs before acting on them or publishing them, and for disclosing to your own users, where relevant, that they are interacting with AI-generated content.
6. Rate limits and technical bounds
We apply per-key request rate limits and bounded request and response sizes, and a single request may run for a limited duration before it is terminated. Current values are documented in the developer documentation and may be adjusted to protect the platform. Exceeding a limit returns a standard error rather than silently degrading your request.
7. Your content and ownership
You keep all rights in the prompts, data, and other material you submit (“Input”), and, as between you and us, you own the responses returned to you (“Output”). You grant us a limited licence to process Input and Output solely to provide, secure, support, and bill for the Service as described in our Privacy Policy. We do not retain your Input or Output, and we do not use them to train models.
Request logging is off by default. If you enable it, you instruct us to store the content of your requests and responses for the retention period stated in our Privacy Policy, and you confirm you hold the rights necessary for that content to be stored. Serving a request always requires transmitting its content to the model provider that answers it, and that provider handles the content under its own terms.
You are responsible for having the rights necessary to submit your Input. Be aware that Output is generated statistically: it may be inaccurate, may not be unique to you, and identical or similar Output may be generated for other customers.
We own the Service itself, including our software, interfaces, documentation, and brand. These Terms grant you no rights in them beyond the right to use the Service.
8. Feedback
If you send us feedback, bug reports, or suggestions, we may use them without restriction or obligation to you. You are not required to give feedback, and doing so transfers none of your other rights.
9. Availability and no warranty
We work to keep the Service available and correct, but it is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.
We do not warrant that Output will be accurate, complete, current, appropriate for your purpose, or free of offensive material. Any verification or compatibility signal we publish about a model or route reflects technical testing at a point in time; it is not a guarantee of answer quality, factual correctness, or latency.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the liability, or one hundred United States dollars (US$100).
Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnity
You will defend and indemnify us against third-party claims, damages, losses, and reasonable costs arising from your Input, your Output, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
12. Suspension and termination
You may stop using the Service at any time and ask us to close your account. We may suspend or terminate your access if you breach these Terms, if your use threatens the security, integrity, or availability of the Service or other customers, if required by law, or if we discontinue the Service.
Where circumstances allow, we will give you notice and an opportunity to resolve the issue before suspending access. On termination your right to use the Service ends and unused promotional credit is forfeited. If we terminate your account other than for your breach of these Terms, we will refund unused purchased credit; if we terminate it because you breached these Terms, unused purchased credit is forfeited. The clauses that by their nature should survive — ownership, warranty disclaimers, liability limits, indemnity, and governing law — continue to apply.
13. Changes to these terms
We may update these Terms as the Service develops. We will update the date at the top of this page and, for material changes, notify account holders by email before the change takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and both parties consent to that jurisdiction and venue.
Before filing a claim, you agree to contact us at support@singularityapi.dev so we can try to resolve the matter informally.
15. General
- These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
- If any provision is held unenforceable, the rest remains in effect and the unenforceable part is limited to the minimum extent necessary.
- Our failure to enforce a provision is not a waiver of it.
- You may not assign this agreement without our written consent; we may assign it in connection with a merger, acquisition, or sale of assets.
- Nothing here creates a partnership, agency, employment, or joint venture between us.
